VDropify Terms of Service

Welcome to VDropify. These Terms of Service ("Terms") govern your access to and use of the VDropify platform, website, applications, and related services (collectively, the "Services"), operated by Vetro Tech ("VDropify," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services.

By creating an account, you represent and warrant that all information you provide is accurate, complete, and current.

2. Account Registration

To access certain features, you must create an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Restricting access to your account.
• All activities that occur under your account.

You must immediately notify us of any unauthorized use of your account.

3. Services Provided

VDropify provides tools that allow users to:

• Create and manage ecommerce websites.
• Manage products, orders, and customers.
• Connect custom domains.
• Process payments through supported payment providers.
• Utilize Merchant of Record services where available.
• Access AI-powered store creation and related features.

VDropify reserves the right to modify, suspend, or discontinue any part of the Services at any time.

4. Subscription Plans and Billing

Access to certain features requires a paid subscription.

By purchasing a subscription:

• You authorize recurring billing based on your selected plan.
• Subscription fees are charged in advance.
• Subscription fees are non-transferable.

You may cancel your subscription at any time through your account dashboard. Cancellation prevents future renewals but does not automatically entitle you to a refund.

5. Refund Policy

New subscription purchases may be eligible for a refund within seven (7) calendar days of the original purchase date.

Refund eligibility applies only to the first subscription purchase and does not apply to renewals.

6. Merchant Responsibilities

Merchants using VDropify are solely responsible for:

• Products sold through their stores.
• Product descriptions and marketing claims.
• Customer service.
• Order fulfillment.
• Compliance with applicable laws and regulations.
• Taxes applicable to their business activities.

VDropify does not manufacture, inspect, or guarantee products sold by merchants.

7. Merchant of Record Services

For merchants participating in VDropify Merchant of Record programs:

• VDropify may collect payments on behalf of merchants.
• VDropify may delay, suspend, or hold payouts.
• VDropify may process refunds or chargebacks.
• VDropify may freeze balances while investigating disputes, fraud, or policy violations.

Participation in Merchant of Record services is also governed by the Merchant Agreement.

8. Prohibited Activities

You may not use the Services to sell, promote, distribute, or facilitate:

• Illegal products or services.
• Counterfeit goods.
• Copyright-infringing products.
• Stolen goods.
• Weapons or ammunition.
• Tobacco products.
• Vape products.
• Recreational drugs.
• Prescription medications without authorization.
• Adult content or adult products.
• Gambling-related products or services.
• Pyramid schemes.
• Fraudulent, deceptive, or misleading products or services.

VDropify may remove content, suspend accounts, or terminate access for violations.

9. User Content

You retain ownership of content you upload, including:

• Product listings.
• Images.
• Branding.
• Marketing materials.

By uploading content, you grant VDropify a worldwide, non-exclusive license to host, store, display, and process such content solely for operating and improving the Services.

You represent that you have the necessary rights to upload and use all submitted content.

10. Intellectual Property

The Services, software, trademarks, logos, designs, and content provided by VDropify are owned by Vetro Tech and protected by applicable intellectual property laws.

You may not copy, distribute, modify, reverse engineer, or create derivative works from the Services without written permission.

11. Payment Providers

VDropify may integrate with third-party payment providers, including PayPal, Stripe, WiPay, and others.

VDropify is not responsible for:

• Payment processor outages.
• Delayed settlements.
• Account freezes by third-party providers.
• Payment processor disputes.

Your use of third-party services is subject to their own terms and policies.

12. Suspension and Termination

VDropify may suspend or terminate accounts at any time if:

• You violate these Terms.
• You engage in fraudulent activity.
• You create excessive chargebacks or disputes.
• You sell prohibited products.
• Your activities create legal, financial, or reputational risk.

Termination may result in loss of access to your account and Services.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available."

VDropify makes no warranties regarding:

• Continuous availability.
• Error-free operation.
• Merchant profitability.
• Sales performance.
• Business success.

To the maximum extent permitted by law, all warranties are disclaimed.

14. Limitation of Liability

To the maximum extent permitted by law, VDropify, Vetro Tech, its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of the Services.

VDropify's total liability shall not exceed the amount paid by the user to VDropify during the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless VDropify, Vetro Tech, its officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from:

• Your use of the Services.
• Your products or services.
• Your violation of these Terms.
• Your violation of applicable laws.
• Any claims brought by customers or third parties relating to your business activities.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Trinidad and Tobago, without regard to conflict of law principles.

17. Changes to These Terms

VDropify may update these Terms from time to time.

Updated versions will be posted on the website and become effective upon publication unless otherwise stated.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
