VDropify Merchant Agreement

This Merchant Agreement ("Agreement") governs participation in merchant services offered through VDropify, a platform operated by Vetro Tech ("VDropify," "we," "us," or "our").

By creating a merchant account, connecting a store, accepting payments, or participating in VDropify Merchant of Record services, you ("Merchant," "you," or "your") agree to be bound by this Agreement.

This Agreement supplements and forms part of the VDropify Terms of Service.

1. Merchant Eligibility

To use VDropify merchant services, you must:

2. Merchant Responsibilities

Merchants are solely responsible for:

VDropify is not responsible for merchant inventory, product quality, fulfillment performance, or customer service obligations.

3. Merchant of Record Services

Certain merchants may participate in VDropify's Merchant of Record ("MoR") program.

When participating in MoR services:

Participation in the MoR program is a privilege and may be suspended or terminated at VDropify's discretion.

4. Payouts

VDropify may release merchant funds according to internal payout schedules.

VDropify does not guarantee payout timelines.

5. Payout Holds

VDropify may place holds on merchant balances for reasons including:

6. Negative Balances

If refunds, chargebacks, fees, or penalties exceed available merchant balances:

Merchants remain responsible for all negative balances.

7. Refunds

Merchants are responsible for honoring their stated refund policies.

For Merchant of Record transactions, VDropify reserves the right to:

Refunds may be deducted from merchant balances.

8. Chargebacks and Payment Disputes

Merchants are responsible for chargebacks and payment disputes arising from:

VDropify may recover chargeback amounts, fees, and related costs from merchant balances.

9. Prohibited Products and Services

Merchants may not sell, promote, distribute, or facilitate:

VDropify may remove products or suspend accounts without notice.

10. Fraud Prevention

VDropify may monitor merchant activity for fraud, abuse, and policy violations.

11. Verification Requirements

Merchants retain ownership of their store content but are responsible for ensuring all content:

14. Taxes

15. Limitation of Liability

VDropify shall not be liable for:

To the maximum extent permitted by law, VDropify's liability shall not exceed amounts paid to VDropify by the merchant during the twelve (12) months preceding the claim.

VDropify may suspend or terminate merchant accounts at any time if:

17. Governing Law

This Agreement shall be governed by the laws of Trinidad and Tobago.

Any disputes arising under this Agreement shall be resolved in accordance with applicable laws of Trinidad and Tobago.
